These Terms of Service ("Terms") govern access to and use of this website, its music marketplace, artist-upload services, customer accounts, downloads, and related services (collectively, the "Service"). In these Terms, "Site," "we," "us," and "our" refer to the operator of this website and, where applicable, the owner of the domain through which the Service is provided. "Artist" means any person or entity that creates an artist account or uploads, submits, distributes, offers, or sells content through the Service. "User" includes Artists, customers, visitors, and other users of the Service.
PLEASE READ THESE TERMS CAREFULLY. By creating an account, checking an acceptance or certification box, uploading content, purchasing or downloading content, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Account Information
You must have the legal capacity to enter into a binding agreement in the jurisdiction where you reside. You agree to provide accurate, current, and complete registration and account information and to keep that information reasonably current. You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account, except to the extent prohibited by applicable law.
2. Artist Rights Certification and Warranty
Every Artist represents, warrants, certifies, and agrees that, for every music track, sound recording, musical composition, album, cover image, photograph, graphic, metadata, name, logo, written material, or other content the Artist uploads or submits ("Artist Content"), the Artist owns, controls, or has obtained all licenses, permissions, consents, releases, clearances, and other rights necessary to upload, reproduce, distribute, publicly display, publicly perform where applicable, promote, preview, sell, license, and otherwise make that Artist Content available through the Service.
By checking the rights-certification box during Artist registration, the Artist expressly certifies: "I certify that I own, control, or have obtained all necessary rights and permissions for every music track, recording, composition, artwork, album, image, and other item that I upload or submit to this Service, and that my use of that material through the Service does not infringe or violate the copyright, trademark, publicity, privacy, contractual, or other rights of any third party."
This certification is a material condition of the Artist's use of the Service and continues to apply to every Artist Content item uploaded during the life of the Artist's account. The Site may maintain a record of the Artist's acceptance, including the account identity, acceptance date and time, and other reasonably maintained transaction or security records.
3. Prohibited Uploads
An Artist may not upload or offer content that the Artist does not have sufficient legal rights to use. This includes unauthorized copyrighted recordings, compositions, samples, beats, cover artwork, photographs, logos, performances, or other protected material. Artists are responsible for obtaining any licenses that may be required for samples, cover songs, underlying compositions, featured performers, producers, artwork, trademarks, publicity rights, or other third-party material.
4. Artist Responsibility; Claims Concerning Artist Content
The Artist is solely responsible for Artist Content and for the Artist's representations concerning ownership, licensing, permissions, and legal compliance. The Site does not acquire ownership of Artist Content merely because it is uploaded to the Service, and the Site does not independently verify every Artist's ownership or licensing claims.
To the fullest extent permitted by applicable law, the Artist is responsible for claims, losses, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys' fees arising from or relating to the Artist's breach of these Terms, the Artist's Content, or allegations that the Artist's Content infringes or violates a third party's rights.
Nothing in these Terms is intended to eliminate or disclaim any responsibility that applicable law independently imposes on the Site, the domain owner, the Site owner, or any other person. No provision of these Terms guarantees that a court or governmental authority will allocate liability in a particular manner.
5. Indemnification by Artists
To the fullest extent permitted by applicable law, each Artist agrees to defend, indemnify, and hold harmless the Site operator, Site owner, domain owner, and their respective officers, employees, contractors, agents, successors, and assigns from and against third-party claims, demands, actions, proceedings, damages, liabilities, judgments, settlements, penalties, losses, costs, and reasonable attorneys' fees arising out of or relating to: (a) Artist Content; (b) an allegation that Artist Content infringes copyright, trademark, publicity, privacy, contractual, or other rights; (c) the Artist's breach of these Terms; or (d) the Artist's violation of applicable law. This obligation applies only to the extent enforceable under applicable law.
6. License Granted to the Site
The Artist retains whatever ownership rights the Artist has in Artist Content. By uploading Artist Content, the Artist grants the Site a non-exclusive, worldwide, royalty-free license, for as long as the content is offered through the Service and for a reasonable technical wind-down period afterward, to host, store, reproduce, encode, transcode, create previews of, display, promote, transmit, distribute, and deliver the Artist Content as reasonably necessary to operate the Service, fulfill purchases and downloads, administer customer libraries, prevent fraud, maintain records, and comply with law.
7. Copyright Complaints and Removal of Content
The Site respects intellectual-property rights. The Site may remove or disable access to content when it receives a sufficiently supported infringement complaint, becomes aware of circumstances requiring action, or otherwise determines in good faith that removal is appropriate. The Site may suspend or terminate Artists who repeatedly infringe intellectual-property rights or repeatedly submit content without sufficient rights.
A separate Copyright/DMCA Policy and designated copyright contact may be published by the Site. Nothing in these Terms limits any rights or procedures available under applicable copyright law.
8. Disclosure of Artist and User Information
Users acknowledge that information associated with an account may be preserved and disclosed when reasonably necessary to comply with applicable law or valid legal process; respond to a subpoena, court order, warrant, governmental or law-enforcement request, or other legally enforceable demand; investigate alleged infringement, fraud, abuse, or other unlawful conduct; protect the rights, property, or safety of the Site or others; or establish, exercise, or defend legal claims.
Where legally permitted and appropriate, information may be provided to law-enforcement authorities, courts, attorneys, rights holders, litigants, or other persons involved in a legal proceeding or legally valid claim. The Site will not promise automatic disclosure of private information merely because someone makes an unsupported accusation or files a complaint; disclosures will be handled in accordance with applicable law, valid legal process, and the Site's applicable privacy practices.
9. Purchases, Prices, and Downloads
Prices displayed by Artists or the Site are subject to the rules and settings of the Service. A purchase is not complete until the applicable payment is successfully processed and the order is recorded as paid. Free downloads may be subject to account, technical, anti-abuse, or other reasonable restrictions. Customers receive only the rights expressly associated with their purchase or download. Purchasing a music file does not transfer copyright or other intellectual-property ownership to the customer.
10. Artist Earnings, Fees, and Adjustments
The Site may deduct disclosed commissions, payment-processing charges, refunds, chargebacks, taxes, or other amounts authorized by the applicable artist program or payment terms. Artist balances may be adjusted when a transaction is refunded, reversed, fraudulent, charged back, or otherwise invalid. Additional payout and commission terms may be displayed in the Artist dashboard or incorporated into these Terms.
11. Refunds and Chargebacks
Digital-content purchases may be subject to a separate refund policy and to mandatory rights provided by applicable law. Users must not initiate fraudulent chargebacks. The Site may suspend accounts associated with fraud, abusive payment disputes, or unauthorized transactions, subject to applicable law.
12. Site Moderation and Account Actions
The Site may review, reject, unpublish, disable, or remove content and may restrict, suspend, or terminate accounts when reasonably necessary to enforce these Terms, address legal or security concerns, prevent fraud or abuse, respond to rights complaints, or protect the Service and its users. Auto-approval of an established Artist's uploads does not constitute a representation by the Site that the uploaded material is lawful or owned by that Artist.
13. No Guarantee of Availability
The Service is provided on an "as available" basis. To the fullest extent permitted by law, the Site does not guarantee uninterrupted operation, permanent storage, a particular level of sales, revenue, exposure, streaming, downloads, or availability. Artists should retain their own backup copies of all original music and artwork.
14. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE OPERATOR, SITE OWNER, DOMAIN OWNER, AND THEIR OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST BUSINESS, OR LOSS OF GOODWILL, ARISING FROM USE OF OR INABILITY TO USE THE SERVICE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
16. Privacy and Records
The Service may collect and retain information reasonably necessary to operate accounts, process transactions, maintain Artist certifications, provide downloads, prevent abuse, comply with legal obligations, and enforce these Terms. A separate Privacy Policy may provide additional details. Users should not use the Service if they do not consent to information practices required to provide the Service, subject to rights provided by applicable law.
17. Electronic Agreement and Records
You consent to entering into these Terms electronically. Checking an acceptance or Artist certification checkbox, creating an account, uploading content, or continuing to use the Service after being presented with these Terms may constitute an electronic manifestation of assent to the extent recognized by applicable law. Electronic records maintained by the Service may be used to document acceptance, transactions, uploads, certifications, and account activity.
18. Geographic Scope
These Terms are intended to govern use of the Service by users who access it from locations around the world. However, no statement that these Terms are "worldwide" overrides mandatory laws, consumer protections, privacy rights, copyright rules, jurisdictional requirements, or other non-waivable legal rights that apply in a particular country, state, province, or territory. Each provision applies to the maximum extent permitted by the law applicable to that user and dispute.
19. Governing Law and Venue
Except where mandatory law provides otherwise, these Terms and disputes arising from them will be governed by the laws of the jurisdiction in which the Site operator is principally established, without regard to conflict-of-law principles. Before publishing these Terms, the Site operator should replace this paragraph with the operator's chosen lawful governing-law and venue provision after obtaining legal advice appropriate to the operator's location and business structure.
20. Changes to These Terms
The Site may revise these Terms from time to time. Material changes may be communicated by posting updated Terms, changing the "Last Updated" date, requiring renewed acceptance, or using another reasonable notice method. Where applicable law requires affirmative consent to a change, the change will not bind an affected user without the required consent.
21. Severability; No Waiver; Entire Agreement
If a provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect, except where applicable law requires otherwise. Failure to enforce a provision is not a waiver of the right to enforce it later. These Terms, together with policies expressly incorporated by reference, constitute the agreement between the Site and the user concerning the subject matter addressed here.
22. Contact and Legal Notices
Before placing the Service into commercial operation, the Site operator should publish accurate business and legal-contact information here, including the appropriate address and email for legal notices and copyright complaints.
ARTIST ACKNOWLEDGMENT: By checking the rights-certification checkbox on the Artist registration page, creating an Artist account, and/or uploading Artist Content, the Artist acknowledges that the Artist has read these Terms and expressly agrees to the Artist Rights Certification, responsibility, indemnification, disclosure, and other provisions above.
